Please be advised that the Board of Directors of Komatsu Ltd. (hereinafter “Komatsu”) made a resolution concerning the change of representative directors' positions as follows in the Board meeting held today (January 31, 2019).

1. Reason(s) for the Change

Komatsu has upheld the “Together We Innovate GEMBA Worldwide: Growth Toward Our 100th Anniversary (2021) and Beyond” three-year mid-range management plan to be completed in the fiscal year ending March 31, 2019. Under this plan, Komatsu has focused its efforts on 1) Growth strategies based on innovation, 2) Growth strategies of existing businesses, and 3) Structural reforms designed to reinforce the business foundation. Together with new mid-range management plan (FY2019-FY2021), starting in next fiscal year, Komatsu is going to rejuvenate its management team for further growth.

2. Names and New Positions　As of April 1, 2019

Kunio Noji and Mikio Fujitsuka will both retire from the position of Director and assume the position of Senior Adviser, upon closing of the annual shareholders’ meeting scheduled for mid June 2019.
